END USER LICENSE AGREEMENT (EULA) FOR SCHNURPLAN
Version: 2026-09-29
IMPORTANT – PLEASE READ CAREFULLY: This End User License Agreement ("Agreement") is a legally binding agreement between you as a business ("Licensee" or "you") and Schnur Solutions S.à r.l.-S ("Provider", see section 16) regarding the software "SchnurPlan", including the SchnurPlan Viewer, the associated server services, documentation and updates (together the "Software").
USE OF THE SOFTWARE IS ONLY PERMITTED AFTER EXPRESS ACCEPTANCE OF THIS AGREEMENT. YOU ACCEPT THE AGREEMENT BY SELECTING "I ACCEPT" IN THE INSTALLER AND BY TICKING THE ACCEPTANCE CHECKBOX IN THE SOFTWARE. IF YOU DO NOT AGREE TO THESE TERMS – IN PARTICULAR THE LIMITATION OF LIABILITY (SECTION 9) AND THE INDEMNIFICATION (SECTION 10) – YOU MAY NOT INSTALL OR USE THE SOFTWARE.
The German version of this Agreement is authoritative (section 14.5); this English version is provided for information.
1. SCOPE AND SUBJECT MATTER
1.1 The Software is intended exclusively for businesses, i.e. natural or legal persons acting in the exercise of their commercial or independent professional activity when concluding this Agreement. Consumers may not use the Software. By accepting, you confirm that you are acting as a business.
1.2 The Provider grants the Licensee use of the Software in accordance with this Agreement and the license scope defined when ordering. The subject matter is solely the grant of rights of use in the Software in the version delivered.
1.3 The characteristics of the Software are conclusively defined by the current product description. Public statements, promotion or advertising do not constitute contractual specifications. Guarantees are only given if expressly designated in writing as a "guarantee".
1.4 General terms and conditions of the Licensee do not apply, even if the Provider does not expressly object to them.
2. GRANT OF RIGHTS OF USE
2.1 The Provider grants the Licensee a simple (non-exclusive), non-transferable and non-sublicensable right to use the Software for its own business purposes for the duration of the chosen license model.
2.2 The scope of use (in particular the number of devices, users or organizations and the term) is determined by the respective order. Unless agreed otherwise, the license applies to one (1) workstation.
2.3 For time-limited licenses (subscription), the right of use ends when the term expires unless it is renewed.
3. RESTRICTIONS OF USE
3.1 The Licensee may not use the Software beyond the permitted scope, in particular not reproduce, make publicly available, rent, lend or operate it as a service for third parties.
3.2 The Licensee will not reverse engineer, decompile or disassemble the Software, except and only to the extent expressly permitted by mandatory law (Articles 5 and 6 of Directive 2009/24/EC as implemented).
3.3 The Licensee will not circumvent, remove or modify protection, copy protection or licensing mechanisms, nor remove proprietary notices.
3.4 Passing the Software on to third parties requires the Provider's prior written consent.
4. RIGHTS OF THE PROVIDER
4.1 The Software is protected by copyright. All rights remain with the Provider or its licensors. The Licensee only acquires the rights of use expressly granted in this Agreement.
4.2 "SchnurPlan", "SchnurSolutions" and associated logos and marks are marks of the Provider.
5. THIRD-PARTY SOFTWARE / OPEN SOURCE
5.1 The Software contains third-party components, including open-source software. Their license terms are included in "DRITTANBIETER-LIZENZEN.txt", "THIRD_PARTY_NOTICES.txt" and the "licenses/" folder of the installation and take precedence over this Agreement for the respective component.
6. UPDATES, SERVER SERVICES AND AVAILABILITY
6.1 The Provider may provide updates but is not obliged to do so. Updates are governed by this Agreement in the version supplied with them.
6.2 Server services (e.g. synchronization, mobile web app, data backup, transmission of reports) are provided as available. No particular availability, response or recovery time is owed unless expressly agreed in writing. The Provider may change, restrict, temporarily interrupt (e.g. for maintenance and security) or, with reasonable notice, discontinue services.
6.3 The Software may integrate third-party functions (e.g. Microsoft, Cloudflare, AI providers, camera manufacturers). The Provider is not responsible for their availability, content or results; the terms of the respective providers apply.
7. CUSTOMER DATA, DATA PROTECTION AND BACKUP
7.1 Information on the processing of personal data is contained in the privacy policy ("DATENSCHUTZ.txt").
7.2 The Licensee is solely responsible for the content and data it processes with the Software (e.g. plans, photos, project, task and contact data) and their lawfulness; in this respect it is the controller under data protection law. Insofar as the Provider processes data on behalf of the Licensee within the server services, the data processing terms (Art. 28 GDPR) apply and form part of this Agreement.
7.3 The Licensee is responsible for regular, complete backups of its data under its own responsibility. Backup functions offered by the Provider are an additional service without warranty and do not replace the Licensee's own backups.
8. TECHNICAL RESULTS AND WARRANTY
8.1 The Software is a tool. Dimensions, lengths, areas, deductions, quantities, scales, plan evaluations, cutting plans, reports, exports, translations, dictation and AI results may be incorrect, in particular with inaccurate source documents, incorrect calibration or incorrect input.
8.2 The Licensee must check all results independently and with professional expertise before using them – in particular before ordering, manufacturing, cutting, installing, quoting or invoicing. The Software does not replace professional review, on-site measurement or specialist planning.
8.3 According to the state of the art, software errors cannot be completely excluded. Uninterrupted or error-free use is not owed.
8.4 Defects must be reported without delay, at the latest within 14 days of discovery, in text form with a comprehensible description. The Provider may, at its option, remedy the defect, provide a workaround or deliver a new version. To the extent permitted by law, any further warranty is excluded; claims for defects become time-barred twelve (12) months after delivery.
9. LIMITATION OF LIABILITY
9.1 The Provider is liable, on whatever legal basis, only for damage caused intentionally or by gross negligence by the Provider or its vicarious agents, for damage arising from injury to life, body or health, and to the extent liability exists under mandatory product liability provisions.
9.2 In all other respects any liability of the Provider is excluded, in particular for simple and slight negligence.
9.3 To the extent permitted by law, the Provider shall in no event be liable for indirect and consequential damage, lost profit, lost orders, business interruption, material, cutting, manufacturing and installation errors, costs of rework, re-ordering or dismantling, contractual penalties and third-party claims against the Licensee, loss of or damage to data, or for damage based on third-party services, network failures, force majeure or a breach of the Licensee's obligations under sections 7 and 8.
9.4 Insofar as the Provider is liable under mandatory law despite sections 9.2 and 9.3, such liability is limited for all damage events in total to the license fees actually paid by the Licensee to the Provider in the twelve (12) months preceding the event giving rise to the damage; for free use (e.g. trial period) it is excluded to the extent permitted by law.
9.5 To the extent permitted by law, claims for damages against the Provider become time-barred one (1) year from the time the Licensee became aware or should have become aware of the damage.
9.6 The limitations of this section also apply in favor of the Provider's officers, shareholders, employees and vicarious agents.
9.7 Liability that cannot be excluded or limited under mandatory law remains unaffected; in that case the limitation applies to the greatest extent permitted by law.
10. INDEMNIFICATION
10.1 The Licensee indemnifies the Provider, its officers and employees against all third-party claims, including the reasonable costs of legal defense, arising from
a) use of the Software by the Licensee contrary to this Agreement or unlawfully,
b) content and data processed by the Licensee infringing third-party rights or statutory provisions, in particular data protection law,
c) the Licensee using or passing on results of the Software to third parties without the review required under section 8.2.
10.2 The Provider informs the Licensee without delay of claims asserted and coordinates the defense with it.
11. TERM AND TERMINATION
11.1 Depending on the license model, the Agreement runs for an indefinite period or for the agreed term.
11.2 The right to terminate for good cause remains unaffected. Good cause for the Provider exists in particular if the Licensee violates section 1.1, 3 or 10 or is in default of payment. In such cases the Provider may block access to server services immediately.
11.3 Upon termination the rights of use expire. The Licensee must cease use and uninstall the Software. It may export its data on the Provider's servers until the end of the Agreement; thereafter they are deleted in accordance with the privacy policy.
12. EXPORT CONTROL
The Licensee complies with applicable export and sanctions regulations, in particular those of the European Union and – where applicable – the United States of America.
13. CHANGES TO THIS AGREEMENT
The Provider may amend this Agreement with effect for the future, e.g. for new functions or changes in the law. An amended version is presented in the Software for acceptance. If the Licensee does not accept it, it may not continue to use the Software after the end of its current license period; until then the previous version applies.
14. FINAL PROVISIONS
14.1 This Agreement is governed exclusively by the laws of the Grand Duchy of Luxembourg, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and the conflict-of-laws rules.
14.2 The exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement is Luxembourg City. The Provider may also sue the Licensee at its registered office.
14.3 Amendments and supplements require text form unless this Agreement provides otherwise.
14.4 Should any provision of this Agreement be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by the legally permissible provision that comes closest to its economic purpose; for limitations of liability the limitation applies to the greatest extent permitted.
14.5 The German version of this Agreement is authoritative; translations are for information only.
15. CONFIRMATION
By accepting, you confirm that you have read and understood this Agreement, that you are acting as a business and that you agree to its terms – in particular the limitation of liability (section 9) and the indemnification (section 10).
