General Terms and Conditions
The German version is legally authoritative.
1. Scope
These terms govern the purchase of the “SchnurPlan” software as a subscription via schnursolutions.com by business customers. Provider: Schnur Solutions S.à r.l.-S.
Our offer is directed exclusively at companies, skilled-trade businesses and self-employed persons (business customers). Private individuals (consumers) cannot create an account or enter into a contract with us. An account may only be created by a person of full legal age who is authorised to act for the business — as its owner, as a person authorised to represent it, or on its behalf.
The licence terms (EULA) in their current version also apply to the use of the software. The software may only be used after express acceptance of the licence terms. Licence terms
2. Services
SchnurPlan is a Windows desktop application with a companion web app. The subscription covers use according to the booked plan, updates and support by email. Project data is stored locally with the customer; at the customer’s request, project data can additionally be stored and synchronized on servers operated by us (data processing on behalf of the controller, Art. 28 GDPR).
3. License and devices
The license is tied to the customer account: after signing in to the software it is unlocked automatically, no manual key entry is required. Use is limited to the number of devices stated in the plan; devices can be deregistered in the customer account at any time. The software checks the license online; without a connection it keeps working for 14 days beyond the paid period end (offline grace).
4. Term and cancellation
The subscription renews by the respective billing period (month or year). It can be cancelled at any time with one click in the customer account, effective at the end of the current period; until then the cancellation can be revoked (reactivated). After the contract ends, local project files remain with the customer.
5. Prices and payment
The prices shown at the time of ordering apply, plus VAT. Payment is processed via Stripe. If a payment fails, access is only restricted after the paid period plus the offline grace has expired.
For SEPA direct debit payments the customer grants the direct debit mandate during the Stripe checkout; collection is handled by Stripe Payments Europe, Ltd. Amount and date of the debit are announced in advance (pre-notification, shortened to at least one day). The customer may have a debited amount returned by their bank within eight weeks of the debit date without stating reasons. Activation can take a few bank working days until the payment is confirmed.
6. Availability
The desktop software runs locally and its core functions are independent of the availability of our servers; account, downloads, license checks and synchronization are operated as online services with reasonable care, but no specific availability is promised.
7. Liability and warranty
Our liability, on whatever legal ground, is excluded to the extent permitted by law. The following paragraphs set out conclusively what we are nevertheless liable for.
We are liable without limitation only for intent and gross negligence, for damage resulting from injury to life, body or health, and under mandatory product liability law.
Otherwise, liability for simple negligence is excluded. Where such an exclusion is not legally effective, our liability is limited to the typical, foreseeable damage and capped in total at the fees the customer paid for SchnurPlan in the twelve months preceding the event giving rise to the damage.
Except in the cases of the second paragraph, liability is excluded in particular for indirect and consequential damage, lost profit, loss of production, use or schedule, contractual penalties towards third parties, and for disruptions of the internet, end devices and third-party services (including payment providers, e-mail delivery and connected AI programs).
Dimensions, areas, quantities, reports, plans and other results of the software, as well as answers and actions of connected AI programs, are provided without warranty. They depend on the plans, scales and data entered and do not replace professional review. The customer checks them on its own responsibility before any use, such as ordering, cutting, invoicing, acceptance or passing them on.
We do not owe uninterrupted or error-free operation or fitness for a particular purpose. We remedy defects within a reasonable period as part of our support; further warranty claims are excluded to the extent permitted by law. The right to cancel remains unaffected.
For free services – trial period, live demo, SchnurViewer, sample content and preview features – we are liable only for intent and gross negligence.
The customer is responsible for regularly backing up its project data; the software provides backup functions for this. For loss of data we are liable – except in the cases of the second paragraph – at most for the effort that would have been needed to restore the data from a proper backup.
Except in the cases of the second paragraph, claims against us become time-barred one year after the customer becomes aware of the damage. These limitations also apply in favour of our employees, representatives and vicarious agents.
The customer indemnifies us, our officers and employees against all third-party claims, including the reasonable costs of legal defence, arising from the customer using the software contrary to the licence terms or unlawfully, from content and data processed by the customer infringing third-party rights or statutory provisions, in particular data protection law, or from the customer using or passing on results of the software to third parties without the required review. We inform the customer without delay of claims asserted and coordinate the defence with them.
8. Final provisions
Applicable law / Place of jurisdiction: Luxemburgisches Recht (droit luxembourgeois); Gerichtsstand Luxemburg (Luxembourg), to the extent legally permissible.
